Terms of engagement.
How it works when you use this site or work with the studio, in plain English: a written proposal, a fixed price for a fixed scope, and the work is yours when it’s done.
01These terms
These terms cover two things: using this website, and working with Layer Logic Studio (the “Studio”, “we”, “us”), an independent web and software studio based in Staten Island, New York.
Every project also gets a written proposal. If your signed proposal says something different from this page, the proposal wins.
02Using this site
- The site is here to explain what we do and how. Nothing on it is legal, financial or other professional advice for your situation.
- The live demos run on invented data generated in your browser. They are copies of real builds, sandboxed, and nothing you do in them reaches a real account or a real person.
- Please don’t try to break, overload or scrape the site, its demos or the on-screen phone, or use them to send spam.
- The design, writing, drawings and code of this site are ours. Client work shown here belongs to the client and appears with their permission.
- Links to other sites are there for convenience; we don’t control them and aren’t responsible for them.
03How an engagement works
- Discovery first. We start by learning how your business runs. Nothing is quoted from a tier sheet.
- A written proposal. Once we’ve agreed a direction, you get a proposal with a fixed scope, a fixed price for that scope, the deliverables and the timeline. Work starts when you accept it.
- No open meter. If you ask for something outside the agreed scope, we tell you what it changes in price and time, in writing, before we do it. Nothing extra is billed without your OK.
- A limited number of projects at a time. When we’re full we say so and offer a start date.
04Payment
The payment schedule, amounts and due dates are set out in your proposal. If a payment is overdue, we may pause work until it’s settled, and we’ll tell you before we do. Ongoing maintenance, when you want it, is billed for the items you choose, as agreed.
05What we need from you
- Decisions and feedback in reasonable time. Most clients spend a couple of hours a week on a project at most; timelines move if feedback or content arrives late.
- The content, logins and access the work needs.
- Only material you have the right to use. You confirm that text, photos, logos and data you give us are yours to use, or licensed to you.
06Who owns the work
You do. Once the project is paid in full, the domain, hosting and email accounts, the code, the design, the content and your data all belong to you, and we hand over access with clear notes on what’s where.
Two things stay outside that: open-source and third-party components (fonts, libraries, services) remain under their own licences, which allow you to keep using them; and any general-purpose tools we built before your project and reused in it stay ours, with a permanent licence for you to use them as part of your work.
07Showing your work
We only show client work on this site, or anywhere else, with the client’s approval. What we show is an exact copy of the delivered design; wherever it holds customer or business records, those are replaced with invented data. Work under a confidentiality agreement is never shown.
08Confidentiality
What you tell us about your business, your customers and your plans stays between us. We use it only to do your project, and we’re happy to sign a confidentiality agreement before discovery if you’d like one.
09After launch
Most projects include a short post-launch window, set in the proposal, to fix anything that surfaces in the first few weeks. After that, maintenance is à la carte: you choose the services you need from a menu and pay only for those, never a tier. It’s never required: everything is handed over so another developer could pick it up.
10Other companies’ services
Sites and apps rely on services run by other companies: domain registrars, hosting, email, payment processors and the like. We choose reputable ones and help set them up, but their terms, prices and outages are theirs. If one of them has a problem, we’ll help you work through it.
11Text messages
Layer Logic Studio texts from (929) 730-7578 only for direct business communication about your inquiry, appointments, project work, account updates or support. Message frequency varies with your project. Message and data rates may apply. Reply STOP to stop receiving texts, or HELP for help. Carriers are not liable for delayed or undelivered messages. How we handle your number is in the privacy policy.
12Limits
We do the work with care and fix what we got wrong. Beyond that, we aren’t liable for indirect losses such as lost profits or lost data caused by a service outside our control, and our total liability for a project is limited to the amount you paid us for it. Nothing here limits rights you have that the law doesn’t allow to be limited.
13Changes and governing law
If we change these terms, we’ll update the date at the top; a change never applies to a project already under a signed proposal. These terms are governed by the laws of the State of New York.
